MB The Logic Behind – Affiliate & Influencer Program Terms

Company: MB The Logic Behind, Lithuania (“Company”, “we”, “us”)
Affiliate / Influencer: the person or entity applying to or participating in the program (“you”, “Affiliate”)

These Terms govern your participation in the Company’s affiliate/influencer commission program for our apps, including Forge and (if enabled by us) Lensia (collectively, the “Products”).

1. Program structure

1.1. Separate Influencer Agreement. Your commission rate, any fixed fees, special deliverables, and any program variations will be set in a separate written agreement (the “Influencer Agreement”).
1.2. Order of precedence. If there is a conflict, the Influencer Agreement overrides these Terms, but only for the conflicting part.

2. Enrollment and eligibility

2.1. You must provide accurate identity and payout information.
2.2. We may accept or reject any application at our discretion.
2.3. You confirm you are legally able to enter into this agreement and comply with laws and platform rules.

3. Tracking and attribution

3.1. We use Heymantle (Shopify affiliate app) (or a successor system) to track referrals (“Tracking System”).
3.2. Qualified Referral. A referral is “Qualified” only if it is recorded by the Tracking System and meets all conditions in these Terms and your Influencer Agreement.
3.3. Attribution window. Unless your Influencer Agreement states otherwise, we use the Tracking System’s default attribution settings (e.g., cookie/window rules) and may change them going forward.
3.4. No manual overrides required. If a referral is not tracked, we are not required to credit it (but we may choose to do so in exceptional cases).

4. Commission and payout

4.1. Commission rate. Your commission percentage (or other compensation) is defined in your Influencer Agreement.
4.2. When commissions are earned. Commissions are earned only on valid, paid subscription revenue from Qualified Referrals, and only while the referred customer remains paying and not in dispute/chargeback/refund status.
4.3. Refunds/chargebacks & clawbacks. If a payment is refunded, reversed, charged back, deemed fraudulent, or otherwise not collected, related commissions are not payable and may be deducted from future payouts.
4.4. Payout schedule. Payouts are made monthly, provided your payable balance is at least USD 50. Balances below the threshold roll over.
4.5. Payout method. Payouts are made via Stripe (e.g., Stripe payouts/Connect) or another method we approve. You’re responsible for providing correct payout details and for any taxes or reporting obligations applicable to you.
4.6. Fees. Unless agreed otherwise, you are responsible for any payout/transfer fees charged by your bank or payment provider.

5. Your obligations and content standards

5.1. Influencer-only. This program is currently for influencers/creators with original content distribution. Coupon/deal sites and incentive-only traffic are not allowed unless we approve in writing.
5.2. Truthful marketing. You must not make misleading claims (e.g., “official Shopify partner”, “Shopify endorsed”, “guaranteed results”, or any performance claims you cannot substantiate).
5.3. Disclosure. You must clearly disclose the commercial relationship in all promotions as required by law and platform rules (e.g., “ad”, “paid partnership”, “affiliate link”, “I earn commission”).
5.4. Platform compliance. You must comply with the rules of every platform you use (TikTok, Instagram, YouTube, X, email providers, etc.).
5.5. No spam. No unsolicited bulk DMs/emails, comment spam, bot-driven posting, or misleading redirects.

6. Prohibited conduct (key “no’s”)

You must not:
6.1. Self-refer (sign up through your own link/code) or encourage others to do so for the purpose of generating commission.
6.2. Use fake reviews, fake testimonials, or impersonation.
6.3. Use cookie stuffing, hidden iframes, forced clicks, or any tracking manipulation.
6.4. Run malware, deceptive downloads, or misleading landing pages.
6.5. Bid on or purchase ads targeting our brand terms (e.g., “Forge AI Store Builder”, “Forge Shopify app”, “Lensia”) unless we approve in writing.
6.6. Violate third-party IP rights (music, images, trademarks) or use our trademarks in a way that confuses users about affiliation.

7. Brand assets and trademarks

7.1. We may provide logos, screenshots, and brand guidelines. You receive a limited, revocable license to use them solely to promote the Products under these Terms.
7.2. You may not register domains, social handles, or accounts that imitate or appear official for the Company or Products.

8. Content license (reuse, edit, recut)

8.1. License grant. If you create content that references the Company or the Products (including videos, images, UGC, testimonials, and clips), you grant the Company a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, edit, recut, adapt, publish, translate, distribute, publicly display, and create derivative works from that content for marketing, advertising, and product promotion.
8.2. Media & formats. This includes use in paid ads, app store listings, websites, social posts, email marketing, and any media formats now known or later developed.
8.3. Moral rights / permissions. Where applicable, you agree not to assert moral rights to prevent our edits, and you confirm you have permissions/releases needed for any people appearing in your content.

9. Confidentiality

9.1. Any non-public info we share (roadmaps, pricing experiments, conversion data, admin links, etc.) is confidential. Don’t disclose it without our written consent.

10. Data protection

10.1. You will not request, collect, or process customer personal data on our behalf unless we explicitly authorize it in writing.
10.2. If you do process any personal data, you must comply with GDPR and applicable privacy laws, and implement appropriate security.

11. Term and termination

11.1. These Terms start when we approve you (or when you start participating) and continue until terminated.
11.2. Termination for convenience. Either party may terminate at any time by written notice.
11.3. Effect of termination. You must stop using our brand assets and stop representing yourself as an affiliate/influencer for the Products.
11.4. Outstanding commissions. We will pay outstanding valid commissions earned before termination as long as the referred customer remains a paying customer and the underlying payments are not refunded/charged back/fraudulent.

12. Disclaimers and limitation of liability

12.1. We do not guarantee any minimum earnings, conversions, or traffic performance.
12.2. To the maximum extent permitted by law, we are not liable for indirect or consequential damages (lost profits, loss of goodwill, etc.).
12.3. Our total liability related to the program is limited to commissions actually payable to you in the three (3) months before the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold the Company harmless from claims arising out of your promotions, content, violations of law/platform rules, IP infringement, or fraud.

14. Governing law and disputes

14.1. These Terms are governed by the laws of Lithuania.
14.2. Disputes will be resolved in the competent courts of Vilnius, Lithuania, unless mandatory consumer rules apply otherwise.

15. Changes to these Terms

We may update these Terms by posting an updated version and/or notifying you. Continued participation after the effective date means you accept the update.
