01 Agreement
These Terms form a binding agreement between you ("Merchant", "you") and Forge AI Inc. ("Forge", "we", "us") covering your use of the Forge AI Shopify app, our website, and any related services (collectively, the "Service"). By installing the app or creating an account, you accept these Terms.
If you're using Forge on behalf of a company, you confirm you have authority to bind that company. The Service is intended for businesses and individuals 18 years or older.
02 Your account
You're responsible for maintaining the security of your account and any activity that happens through it. Notify us immediately if you suspect unauthorized access. We're not liable for losses caused by stolen or shared credentials.
You agree to provide accurate, current information when registering, and to keep it up to date.
03 License & use
Subject to these Terms and your payment of applicable fees, Forge grants you a non-exclusive, non-transferable, revocable license to use the Service for the purpose of building and operating Shopify stores you own or are authorized to manage.
You may not
- Reverse engineer, decompile, or attempt to extract our model weights, prompts, or training data.
- Resell, sublicense, or share your Forge account with third parties outside your organization.
- Use the Service to build stores you don't have legal authority to operate.
- Scrape, automate, or otherwise programmatically extract Service output beyond your reasonable use.
04 Your store content
You own everything Forge generates for your store - copy, layouts, generated imagery, product descriptions, all of it. We make no claim of ownership over your stores, your products, or your customer data.
You grant Forge a limited license to process your inputs (prompts, uploaded assets, store data) solely to provide the Service. We do not use your store data to train our models without your explicit opt-in.
05 Payments & billing
Forge subscriptions are billed monthly through Shopify's billing system unless otherwise stated. Plans renew automatically until cancelled. You can cancel any time from your Shopify admin.
- Free trial. 14 days. No credit card required to start. We will not charge you during the trial.
- Refunds. Pro-rated refunds are not generally provided after the trial. Contact us for exceptional circumstances.
- Price changes. We may change pricing with at least 30 days notice. Changes apply to your next billing cycle.
- Taxes. Prices exclude applicable taxes, which you are responsible for.
06 AI-generated output
Forge uses generative AI to produce store designs, copy, and imagery. AI output is provided "as-is" and may contain inaccuracies, hallucinations, or unintended content. You are responsible for reviewing all AI output before publishing to your live store.
You are responsible for ensuring your store, products, and content comply with all applicable laws, including consumer protection, advertising, and intellectual property regulations in your jurisdiction.
07 Prohibited use
You may not use Forge to build or operate stores that:
- Sell illegal, restricted, or counterfeit goods.
- Infringe third-party intellectual property, trademarks, or likeness rights.
- Promote violence, hate speech, or content that violates Shopify's Acceptable Use Policy.
- Engage in deceptive trade practices, fraudulent claims, or pyramid schemes.
- Generate adult content, weapons, drugs, or content prohibited by applicable law.
We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice.
08 Multiple accounts & unpaid Shopify invoices
Forge is offered on the basis that each merchant operates a Shopify store in good standing under a single Forge subscription. We have observed a recurring pattern of misuse in which an operator installs Forge on a Shopify store, accrues Shopify and Forge charges, allows the store to be frozen, paused, or closed by Shopify for non-payment, and then opens a new Shopify store to repeat the cycle. This conduct is expressly prohibited and constitutes a material breach of these Terms.
One operator, one active subscription
You may not maintain, operate, or cause to be operated multiple Forge subscriptions, free trials, or Shopify stores running Forge in order to obtain duplicate trials, avoid charges, reset usage limits, or circumvent any suspension, termination, or unpaid balance. Each natural person, legal entity, business, household, payment instrument, or group under common control is permitted one active Forge subscription unless we have agreed otherwise in writing.
Using different email addresses does not create separate operators. Multiple Shopify accounts, Forge accounts, or free trials that are registered, controlled, funded, or operated by the same person or organization are treated as a single account for the purposes of these Terms, regardless of the email addresses, usernames, store names, or display details used to create them. The use of distinct emails, aliases, disposable inboxes, or nominee sign-ups to open additional accounts is itself considered evidence of circumvention.
Free trial abuse
The Forge free trial is offered once per operator so that prospective merchants can evaluate the Service in good faith. Repeatedly starting new free trials - whether by installing Forge on additional Shopify stores, using different email addresses, payment instruments, business names, or device or network identifiers, or by uninstalling and reinstalling the app to reset the trial period - is prohibited and constitutes a breach of these Terms.
We may, at our sole discretion: (i) refuse, shorten, or revoke any trial that we reasonably believe is a repeat trial by the same operator; (ii) require immediate conversion to a paid subscription as a condition of continued access; (iii) charge for usage that occurred during a disallowed trial at our then-current rates; and (iv) treat repeated trial abuse the same as any other circumvention of fees under this section.
Unpaid Shopify invoices
Forge subscription fees are collected through Shopify's billing system. Any Forge charges that remain unpaid at the time your Shopify store is frozen, paused, or closed by Shopify remain due and payable to Forge, and are not waived, discharged, or extinguished by the closure of the store, the abandonment of the Shopify account, or the opening of a replacement store.
Identification of linked accounts
We may use reasonable technical and business signals - including email addresses, payment instruments, business and legal names, billing and shipping addresses, IP addresses, device and browser identifiers, store metadata, and Shopify account information - to identify Forge installations that are operated by, or under common control with, an individual or organization that has an outstanding balance, a prior termination for cause, or a documented history of non-payment. Where we reasonably determine that two or more installations are linked, we may treat them as a single account for the purposes of these Terms.
Our remedies
Without limiting any other right or remedy available to us under these Terms or at law, we may:
- Decline, restrict, or revoke installations, free trials, and subscriptions associated with operators who have outstanding Forge charges or a history of non-payment on any Shopify store;
- Require full settlement of prior unpaid balances, together with reasonable collection costs, before reactivating service or providing service to any linked account;
- Immediately suspend or terminate any linked Forge subscription, without refund of fees already paid;
- Withhold or limit Service features, including AI generation, exports, and support, pending payment; and
- Report fraudulent or evasive conduct to Shopify, to payment networks, and to relevant authorities, and pursue collection of unpaid amounts through lawful means.
This section is directed at deliberate evasion of fees, not at merchants who experience occasional billing issues in good faith. If you are having trouble settling an invoice, please contact us before your store is frozen and we will work with you in good faith to find a resolution.
09 Termination
You can cancel your subscription any time through your Shopify admin. Upon cancellation, your access ends at the end of the current billing period. Your store remains yours - what Forge generated stays installed and editable on Shopify, even after you stop subscribing.
We may suspend or terminate access for violations of these Terms, prolonged inactivity, or as required by law. We'll give reasonable notice unless the violation is severe.
10 Warranty & liability
The Service is provided "as-is" and "as-available" without warranties of any kind. We don't guarantee that Forge will increase your sales, that AI output will be perfect, or that the Service will be uninterrupted.
To the maximum extent permitted by law, Forge's total liability for any claim arising from these Terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages - including lost revenue or lost profits.
11 Changes to terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
